(the Seller). You must fully understand all terms contained in this contract before signing.</div> <bR> <div> <U>Buyer's Commitment Not to Copy</U>: The Buyer hereby recognizes that reproduction of products manufactured by FILIPPI, Srl. is the exclusive property right of FILIPPI, Srl. Therefore, the Buyer undertakes, covenants, and promises not to copy or reproduce any FILIPPI product, either by self or in any indirect way, nor will the Buyer permit anyone acquiring or using FILIPPI products to copy or reproduce them. Buyer, for self, heirs, and assigns, hereby recognizes that violation of the foregoing constitutes immediate irreparable injury, not compensable to damages alone, and that, in the case of violation, the Seller is entitled to a temporary or permanent injunction.</div> <bR> <div> <U>Payment and Deposit:</U> Orders will be accepted only upon receipt of deposit from the Buyer. The Buyer will be responsible for remittance of the full balance by the due date. In the event of late payment, the Seller shall be entitled to impose a 10% surcharge of the amount past due. The Seller will furthermore be entitled to recover from the Buyer any and all expenses incurred, including but not limited to: storage, transportation, penalties, etc. Buyer hereby gives the Seller the right to withhold delivery of the Buyer's order indefinitely until final payment is made. The Buyer furthermore agrees that the Seller has the right to consider the order and related deposit or payments forfeited after ninety days of delinquency.</div> <bR> <div> <U>Default:</U> In the event of default by the Buyer under this agreement, the Seller shall be entitled to recover all losses and costs, plus attorney's fees from the Buyer.</div> <bR> <div> <U>Completion Date:</U> The Seller will make every reasonable effort to deliver the boat described on the reverse side by the date specified. The Buyer agrees to hold the Seller harmless for reasonable delays in delivery due to situations beyond the Seller's control.</div> <bR> <div> <U>Transportation Waiver:</U> If Buyer requests transportation, the Seller shall, through their own efforts, or those of a sub-contractor, make every effort to safely transport the boat described on the reverse side from the port of entry to the agreed upon delivery location. Such transport is undertaken at the risk and peril of the Buyer, who agrees to hold the Seller, or sub-contractor engaged by the Seller, not responsible for loss or damage occurring during said transport. The Buyer is encouraged to insure their boat from the date of arrival at the port of entry. The Seller agrees to provide the information necessary for purchasing insurance coverage before transport.</div> <bR> <div> <B>I have read this contract, and agree to the terms specified therein.
